1. Agreement to Terms

By accessing or using Averum Contracts AI ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service.

  • Risk identification and assessment

The Service is designed to assist legal professionals and businesses with contract-related tasks but does not constitute legal advice.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscription Plans and Payments

4.1 Plans

We offer various subscription plans with different features and credit allocations. Plan details are available on our pricing page.

4.2 Billing

  • Subscription fees are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except as expressly stated.
  • We may change pricing with 30 days' notice.

4.3 Credits

  • Credits are used for AI analysis features.
  • Unused credits do not roll over to the next billing period (unless specified).
  • Additional credit packs may be purchased separately.

4.4 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

  • Upload malicious, illegal, or harmful content
  • Attempt to reverse engineer, decompile, or hack the Service
  • Use the Service to violate any laws or regulations
  • Share account credentials or allow unauthorized access
  • Use automated tools to scrape or extract data
  • Interfere with the Service's operation or security
  • Resell or redistribute the Service without authorization
  • Upload content that infringes intellectual property rights

6. Intellectual Property

6.1 Our Content

The Service, including its design, features, and technology, is owned by Averum and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary content.

6.2 Your Content

You retain ownership of documents you upload. By using the Service, you grant us a limited license to process your content solely to provide the Service.

6.3 AI-Generated Output

Analysis results and AI-generated content are provided for your use. You may use these outputs in your business activities, subject to the limitations in Section 7.

7. Disclaimer of Warranties

7.1 No Legal Advice

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. AI-generated analysis is for informational purposes only. Always consult a qualified attorney for legal matters.

7.2 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF RESULTS

7.3 AI Limitations

AI analysis may contain errors or omissions. You are responsible for reviewing and verifying all outputs before relying on them.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Averum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you have not made any payments.

This limitation applies regardless of the legal theory (contract, tort, or otherwise).

9. Indemnification

You agree to indemnify and hold harmless Averum, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in fraudulent or harmful activity

10.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Your data will be retained for 30 days, then deleted
  • Outstanding fees remain payable

11. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of the jurisdiction where Averum is incorporated, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes shall be resolved through:

  1. Informal Negotiation: Contact us first to attempt resolution.
  2. Binding Arbitration: If negotiation fails, disputes will be resolved through binding arbitration.
  3. Small Claims Court: Either party may pursue claims in small claims court.

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Averum.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms. We may assign our rights and obligations freely.
